The Missouri Court of Appeals for the Eastern District recently affirmed a summary judgment won by Carmody MacDonald in a dispute among the owners of a title company.  Carmody MacDonald partner David Stoeberl and associate Tina Babel represented one of the defendant-owners.  In the case, a minority-share owner claimed that another minority owner and the managers of the limited liability company violated the company’s operating agreement when the managers voted to dissolve and terminate the company.  Circuit Court Judge John Ross entered summary judgment in favor of Carmody MacDonald’s client as well as the two managers, finding no evidence of any breach of the company’s operating agreement.  The Court of Appeals affirmed that result.
